Terms and Conditions

1. Introduction

These Terms and Conditions govern the provision of products and services related (but not limited) to analytical quality assurance, data analysis, statistical analysis, and AI tools by QD Labs LP ("Company") to its clients. A core service of the Company is to provide quality control samples, reference materials and proficiency testing services. Additionally, any company or governmental authority seeking the expertise of Company may be served. All products and services comply with applicable US regulations.

2. Scope of Services

The Company offers products and services designed for testing laboratories, manufacturers, governmental authorities, and organizations engaged in the utilization and analysis of measurement data or development/provision of processes, analytical methods and procedures.

3. External Service Providers

The Company collaborates with a network of trusted distributors, resellers, and suppliers to ensure the efficient delivery and high standard of products and services. These partnerships are integral to maintaining the Company’s commitment to quality and customer satisfaction. External service providers are carefully vetted and monitored, ensuring that only authorized partners are permitted to collaborate with Company.

4. Acceptance of Terms

By placing an order, the client accepts these Terms and Conditions in full. Specific terms may be negotiated as per individual orders.

5. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

6. Dispute Resolution

Any disputes arising from these terms or related transactions shall be resolved through negotiation between parties. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association, the Commercial Arbitration Rules will be applied. For international clients, the arbitration shall be conducted in accordance with the New York Convention on the Recognition and Enforcement of Arbitral Awards.

7. Liability Limitation

The Company's liability under these terms is limited to direct damages up to the value of the contract in question. The Company is not liable for any indirect, incidental, or consequential damages. The use of the supplied products or services is at the client's own risk, and the Company makes no guarantees regarding regulatory approvals or accreditations of its clients. If clients utilize results for official or regulatory purposes, it is done at their own risk and responsibility.

8. Force Majeure

DThe Company shall not be liable for delays or failures in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, or government action.

9. Termination

The Company reserves the right to terminate the agreement with immediate effect if the client breaches any material term of the agreement or engages in activities that may harm the Company's reputation or operations. The client may terminate the agreement for cause by providing a 30-day written notice, subject to the settlement of all outstanding payments for services rendered up to the termination date. Termination does not affect any rights or obligations accrued prior to the termination. In the event of a breach, the breaching party shall be afforded a period of 15 days to remedy the breach before any termination action is taken by the non-breaching party.

10. Confidentiality

Both parties agree to keep any confidential information received from the other party private and not disclose it to any third parties without prior written consent.

11. Entire Agreement

These Terms and Conditions, along with any individual orders, constitute the entire agreement between the parties regarding the subject matter hereof.
